Terms of Service

Rules and guidelines for using Afrobyte platforms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of our products, services, platforms, APIs, and applications (collectively, the "Services").

By accessing or using the services provided by Afrobyte Technologies Limited, you agree to comply with and be bound by these Terms of Service. If you do not agree, you may not access our platforms or APIs.

2. Eligibility

You must be at least 18 years old or have legal parental/guardian consent to use our Services. By using our Services, you represent and warrant that you meet these requirements.

3. Description of Services

Our services include but are not limited to:

  • Software Development Solutions
  • Cloud Architecture and APIs
  • Artificial Intelligence (AI-Powered Solutions)
  • Digital Consultancy
  • Data Analytics and Visualization
  • Business Intelligence

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. API Usage and Rate Limiting

If you utilize Afrobyte's proprietary AI APIs or data endpoints, you agree strictly to the rate limits and pricing tiers outlined in your contract. We reserve the right to throttle or block access if misuse, reverse engineering, or excessive load without warning is detected.

4. User Accounts

To access certain features, you may be required to create an account

You agree to:-
  • Provide accurate and complete information.
  • Maintain the confidentiality of your account credentials.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

5. Acceptable Use Policy

You agree NOT to:-
  • Use the Services for unlawful purposes
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Reverse engineer, decompile or exploit our technology
  • Use our services for any illegal or unauthorized purpose
  • Distribute malware, spam, viruses, or engage in malicious activities

You are responsible for all activities that occur under your account.

6. Intellectual Property

All content, trademarks, patents, machine learning models, and source code generated internally by Afrobyte remain the exclusive property of Afrobyte Technologies Limited or its licensors unless expressly transferred via contract.

You are granted a limited, non-exclusive, non-transferable license to use the Services strictly in accordance with these Terms.

You may not:-
  • Copy, modify, or distribute our intellectual property without permission.
  • Reverse engineer or decompile our software.
  • Use our services for any illegal or unauthorized purpose.

7. Data Privacy and Confidentiality

We are committed to protecting your privacy. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your personal data.

8. User Content

You are responsible for any content you submit, upload, or otherwise make available through our Services. You retain ownership of your content, but you grant us a world-wide, non-exclusive, royalty-free license to use, modify, and distribute it as necessary to provide the Services.

9. Fees and Payments

Afrobyte Technologies may charge fees for certain services. You agree to pay all applicable fees in accordance with the payment terms outlined in your contract. All fees are non-refundable unless otherwise stated in your contract. We may change pricing with reasonable notice.

Failure to pay may result in suspension of Services.

10. Third-Party Services

Our Services may integrate with or link to third-party services. We do not endorse or assume responsibility for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

11. Disclaimers

Our Services are provided "as is" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Afrobyte Technologies does not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, completeness, or reliability of any information provided through our Services.

Afrobyte Technologies is not responsible for any third-party content, products, or services accessed through our platform.

12. Limitation of Liability

In no event shall Afrobyte Technologies or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Afrobyte's website or associated services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Afrobyte Technologies, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of the Services or your violation of these Terms.

14. Termination

Afrobyte Technologies may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms shall be resolved through arbitration in accordance with the Arbitration Act of Zambia.

17. Modifications to Terms

Afrobyte Technologies may revise these terms of service for its website at any time without notice. By using this website, you are agreeing to be bound by the then-current version of these Terms of Service.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Afrobyte Technologies on the Services, constitute the entire agreement between you and Afrobyte Technologies concerning the Services.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

20. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Afrobyte Technologies' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Afrobyte Technologies. Afrobyte Technologies may assign or transfer these Terms without restriction.

22. Force Majeure

Afrobyte Technologies shall not be liable for any failure or delay in performance under these Terms to the extent said failures or delays are caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.

23. Headings

The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
